St Kilda Football Club will hold its 2025 Annual General Meeting (AGM) on 18 December at RSEA Park, following the release of the club’s Annual Report.

The Saints recorded another year of growth across membership, revenue and commercial performance in 2025, finishing the year with an operating profit of $2,781,945. 

Members will be able to ask questions about both on and off field matters at the AGM. They will also vote on several proposed changes to the club’s Constitution. 

These changes follow a full review to ensure the Constitution reflects current governance standards and the way the club operates today.

Overview of proposed changes:

Modernising the Constitution
The draft includes clearer and simpler membership and voting clauses, updated provisions for the use of technology in meetings and communication, and strengthened guidance on conflicts of interest, committees and Director conduct. The aim is to make the Constitution easier to understand and more consistent with modern governance practices.

Director term limits
The proposal introduces term limits for Directors, consistent with best practice across the AFL. Currently, Directors may serve unlimited consecutive terms. The updated approach would generally cap tenure at three three-year terms, with the option of one additional term if required. This supports renewal, broader experience on the Board and long-term succession planning.

President tenure
It is proposed that a President may serve for the full duration of their time as a Director. This provides greater flexibility and supports leadership continuity. The current Constitution limits Presidential tenure to six years, which is more restrictive than industry norms. Aligning the President’s term with their Directorship brings the club in line with AFL standards and strengthens stability at Board level.

These recommendations follow an independent review by Arnold Bloch Leibler, supported by benchmarking across other AFL clubs. The Constitution was last amended in 2012.
